New Small Business Reporting Rule Targets Small to Mid-Sized Companies

Starting January 1, 2024, the U.S. will implement the Beneficial Ownership Information (BOI) Reporting Rule, derived from the Corporate Transparency Act (CTA) Section 6403. Aimed at combating illegal activities within shell entities, the rule mandates small to mid-sized businesses to report beneficial owner details to FinCEN, including personal information. Non-compliance can lead to penalties, emphasizing the need for affected businesses to understand and adhere to the new requirements. Exemptions exist for certain entities, but others must analyze ownership structures. Initial reports for entities existing by Dec. 31, 2023, are due by Jan. 1, 2025, with ongoing updates required within 30 days. The BOI Reporting Rule enhances corporate transparency, emphasizing the importance of ongoing compliance for businesses to contribute to a more ethical corporate landscape.
